Terms & Conditions of Service
Binding Agreement. By booking a session or purchasing any service through Red Mile Records Inc. (the "Studio"), the Client (the "Artist", "You", or "Your") explicitly agrees to be bound by these legally binding Terms and Conditions. This agreement is confirmed by checking the required Terms of Service checkbox during the booking process. If you do not agree, do not proceed with booking.
1. Booking, Cancellation, and Timing
1.1 Acceptance of Terms
Your booking constitutes acceptance of these Terms and Conditions in full. All sessions must be booked through our official Setmore booking link. Your time is not secured until you receive a calendar invitation and confirmation email from Red Mile Records Inc.
1.2 Minimum Booking
All studio sessions carry a two (2) hour minimum. If you require a session that crosses midnight (e.g., 11:00 PM to 1:00 AM), you must ensure both hourly slots are selected consecutively in the booking system.
1.3 24-Hour Strict Notice — Cancellation and Rescheduling
To cancel or reschedule, you must provide written notice via email to bookings@redmilerecords.com or through our booking system at least twenty-four (24) hours prior to your scheduled start time.
- Cancellations with 24+ hours notice: No charge. Rescheduling to a new date/time at no extra cost, subject to availability.
- Cancellations with less than 24 hours notice: The full booking fee is forfeited as liquidated damages to cover the Studio's lost opportunity and fixed overhead costs. No refunds will be issued.
- No-shows: If the Client fails to appear at the scheduled start time without prior notice, the full session fee is forfeited. No refund or credit will be provided.
1.4 Session Timing and Punctuality
Your session begins at the time booked, not the time of arrival. Late arrivals will not be granted additional time or a reduction in fees — your session concludes at the scheduled time regardless of your arrival. Please factor in your setup and teardown time (including file transfers and load-out) within your booked hours. To ensure the next artist starts on time, the room must be cleared by the end of your scheduled slot.
1.5 Midnight Bookings
For sessions spanning across midnight, the Client is responsible for ensuring both calendar dates are booked consecutively in the booking system prior to the session.
2. Audio Production Services
2.1 Turnaround Times
For mixing and mastering services, the standard turnaround time is five (5) to ten (10) business days from the date all necessary files and session materials are received in their final, complete form. Rush turnaround may be available upon request and is subject to availability and additional fees.
2.2 Revisions
Each mixing or mastering service includes a maximum of three (3) rounds of revisions at no additional charge. Revision requests must be submitted in a single, consolidated document or email per round. Any additional revisions beyond the three-revision limit will be subject to further billing at Red Mile Records' current hourly rate, communicated to the Client before work proceeds.
2.3 File Delivery Requirements
For mixing and mastering services, the Client is responsible for delivering all project files in the format specified by the Studio at the time of booking. Delays caused by incomplete or incorrect file delivery may affect turnaround times and do not constitute grounds for a refund.
2.4 Creative Dissatisfaction
Due to the inherently subjective nature of audio production, no refunds or credits will be issued based on dissatisfaction with the creative or aesthetic outcome of recording sessions, mixing, mastering, or any other creative audio service. The revision policy in Section 2.2 is the exclusive remedy for output concerns.
3. Guest Policy and Facility Access
3.1 Guest Limit
The Client is permitted a maximum of two (2) guests per session, for a total of three (3) persons including the Artist/Client. This limit is in place to maintain a focused creative environment and comply with the Studio's occupancy and safety guidelines.
3.2 Prior Approval for Additional Guests
To exceed the guest limit, written approval must be obtained at least twenty-four (24) hours in advance by emailing bookings@redmilerecords.com or calling/texting (403) 969-9224. Approval is at the sole discretion of Red Mile Records Inc.
3.3 Unauthorized Guests
The Studio reserves the right to deny entry to any unauthorized guests exceeding the approved limit. Refusal of unauthorized guests does not constitute grounds for a refund or session credit.
3.4 Parking and Arrival
Street parking is available on 17 Ave SW and surrounding streets. We advise arriving ten (10) to fifteen (15) minutes early to ensure your session starts promptly. Red Mile Records is not responsible for parking charges, tickets, or towing.
4. Prohibited Conduct — Zero Tolerance
The Studio maintains a safe, professional, and inclusive creative environment. The following are strictly prohibited on premises, including the parking area and common areas of the building. Violation of any of the following may result in immediate session termination without refund and/or a permanent ban from the Studio.
4.1 Illegal Substances and Alcohol
The use, possession, or sale of illegal drugs, unauthorized controlled substances, or alcohol is strictly prohibited on Studio premises. This applies to the Client and all guests.
4.2 Smoking and Vaping
In compliance with the City of Calgary Smoking and Vaping Bylaw No. 19M2020 and the Tobacco and Smoking Reduction Act (RSA 2000), smoking and vaping (tobacco, cannabis, e-cigarettes, or any similar product) are strictly prohibited inside the Studio and within five (5) metres of any entrance to the building.
4.3 Weapons
In accordance with the Criminal Code of Canada and the City of Calgary's Public Behaviour Bylaw, the possession, display, or use of any weapon, replica weapon, or imitation weapon is strictly prohibited on Studio premises.
4.4 Violent and Threatening Behaviour
Any aggression, intimidation, harassment (including sexual harassment), threatening language, or physical altercation directed at Studio staff, other clients, or guests will result in immediate session termination without refund, removal from the premises, and a permanent ban. Red Mile Records Inc. reserves the right to report such conduct to the Calgary Police Service.
4.5 Session Termination
Red Mile Records Inc. reserves the right to terminate any session immediately and without refund for any conduct that, in the Studio's sole reasonable judgment, creates an unsafe environment, violates these Terms, or breaches applicable law.
5. Liability, Damages, and Fees
5.1 Equipment and Facility Damage
The Client assumes full financial liability for any damage to Studio property — including but not limited to microphones, preamps, consoles, instruments, furniture, walls, flooring, and any other fixed or movable property — caused by the Client or their guests. Repairs or replacements will be billed to the Client at the current market rate plus a fifteen percent (15%) administrative fee. Payment is due within thirty (30) days of invoice.
5.2 Video and Lighting Equipment
For sessions utilizing the Studio's music video, photography, or broadcast setup, any damage to video recording, lighting, grip, or storage equipment requires full financial compensation for repair or replacement at current market rates, plus the fifteen percent (15%) administrative fee.
5.3 Cleaning Fee
A flat cleaning fee of one hundred dollars ($100 CAD) will be automatically charged to the Client's payment method on file if human waste (urine, feces, vomit) or an excessive accumulation of garbage is found outside of designated areas at the conclusion of the session. This fee is non-negotiable and payable immediately upon invoice.
5.4 Personal Property
The Studio is not responsible for the loss, theft, or damage of any personal belongings — including instruments, cables, drives, clothing, electronics, or any other items — brought into the facility by the Client or their guests. Clients are encouraged to secure valuable items and to remove all personal property at the end of each session.
5.5 Indemnification
The Client agrees to indemnify, defend, and hold harmless Red Mile Records Inc. and its owners, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and legal expenses (including reasonable legal fees) arising from or related to: (a) the Client's use of the Studio; (b) any breach of these Terms by the Client or their guests; (c) any act or omission of the Client or guests on Studio premises.
6. Intellectual Property and File Storage
6.1 Client Ownership of Masters
Upon full payment of all outstanding fees, the Client retains one hundred percent (100%) ownership of the master recordings created during the session. Red Mile Records Inc. claims no ownership, licence, or reproduction rights over Client master recordings. The Studio will not distribute, exploit, share, or publicly perform Client recordings without express written consent.
6.2 Studio Session Files — Quality Purposes Only
Red Mile Records Inc. may retain copies of session recordings, session files, or multitracks solely for internal quality assurance, technical review, and operational backup purposes for a period not exceeding ninety (90) days following the session. These copies are not used for commercial, promotional, or any other purpose. Clients may request deletion of retained session files at any time by contacting bookings@redmilerecords.com.
6.3 Client Responsibility for File Backup
Clients are solely responsible for taking their session files, multitracks, and any other project materials on an external drive at the conclusion of the session. Red Mile Records Inc. is not liable for data loss, corruption, accidental deletion, hardware failure, or any other loss of Client creative files once the session has concluded. The Studio maintains backups as a courtesy but does not guarantee long-term data preservation.
6.4 Joint Authorship
If a Studio-affiliated producer, engineer, or creative contributor makes an original, qualifying creative contribution (including but not limited to original melodies, lyrics, arrangement ideas, or beats) during a session, such contributor may qualify as a "joint author" under the Copyright Act (RSC 1985, c C-42). In such cases:
- Both parties agree to discuss and negotiate a percentage-based ownership split in good faith prior to the release of any work embodying such contributions.
- Both parties agree to execute a formal Split Sheet or Participation Agreement detailing performance rights, mechanical rights, and any applicable royalty splits before commercial release.
- Failure to reach agreement on a split does not entitle either party to exploit the jointly authored work without the other's written consent.
6.5 Studio Promotional Use
Red Mile Records Inc. may, with the Client's prior written consent, reference the Client's name, artist name, or genre in its marketing materials as a past client. The Studio will never release, stream, or publicly perform Client recordings for promotional purposes without explicit written authorization from the Client.
7. Payment Terms
7.1 Accepted Payment Methods
Red Mile Records Inc. accepts payment via credit card, debit card, e-transfer, and other methods as communicated at the time of booking. All prices are quoted in Canadian dollars (CAD) and are inclusive of applicable fees unless otherwise stated.
7.2 Applicable Taxes
Alberta does not impose a provincial sales tax (PST). The federal Goods and Services Tax (GST) applies to all taxable supplies at the current federal rate. Where applicable, GST will be itemized on all invoices issued by Red Mile Records Inc. as required under the Excise Tax Act (RSC 1985, c E-15).
7.3 Outstanding Balances
The Studio reserves the right to withhold the delivery of mixed, mastered, or otherwise processed files until all outstanding fees are paid in full. Overdue accounts may be subject to collection action.
7.4 Currency
All fees and charges are in Canadian dollars (CAD) unless explicitly stated otherwise in writing.
8. Limitation of Liability
To the maximum extent permitted by the laws of Alberta and Canada, Red Mile Records Inc. and its owners, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or loss of goodwill, arising from or related to:
- The use or inability to use the Studio's services;
- Any loss or corruption of Client recording files or session data;
- Any interruption, delay, or termination of services due to circumstances beyond the Studio's reasonable control (including equipment failure, power outages, or force majeure events);
- Any third-party actions or omissions on Studio premises.
In no event shall the total cumulative liability of Red Mile Records Inc. to any Client exceed the total fees actually paid by that Client for the specific session or service giving rise to the claim. Nothing in this section limits liability for fraud, gross negligence, or wilful misconduct.
9. Privacy and Personal Information
Red Mile Records Inc. collects and processes personal information in accordance with Alberta's Personal Information Protection Act (SA 2003, c P-6.5) ("PIPA") and the federal Personal Information Protection and Electronic Documents Act (SC 2000, c 5) ("PIPEDA"). Personal information collected through the booking process and contact form is used solely to fulfill services and communicate with Clients. For full details, see our Privacy Policy.
10. Governing Law and Dispute Resolution
10.1 Governing Law
This Agreement is governed exclusively by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.
10.2 Dispute Resolution
The parties agree to first attempt to resolve any dispute arising from this Agreement through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation in Calgary, Alberta, before proceeding to litigation.
10.3 Jurisdiction
Any legal proceedings arising from this Agreement that proceed to litigation shall be brought exclusively in the courts of Calgary, Alberta. Both parties consent to the personal jurisdiction of such courts.
10.4 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect as if the invalid provision had never been included.
10.5 Entire Agreement
These Terms and Conditions, together with the Booking Policy and any session-specific agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior understandings, representations, and agreements.
10.6 Waiver
Failure by Red Mile Records Inc. to enforce any provision of these Terms on any occasion does not constitute a waiver of the right to enforce that provision on any subsequent occasion.
11. Changes to These Terms
Red Mile Records Inc. reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Continued use of Studio services following the posting of changes constitutes acceptance of the revised Terms. Clients are encouraged to review this page periodically.
